multi scheduler.exe runs eating cpu

I just upgraded from WIN98se to WIN2000 prof. To set up hotmail in mazilla and to sync my palm with mazilla, I needed to get a JRE (java?) program, but I can't download THAT until I update to WIN Service Pack 3. Only Service Pack 4 was on the website, so I installed it, and now something called scheduler.exe runs exactly every 25 seconds. Multiple scheduler.exe are running. It eats up 50% of cpu and has interfered with music & burning CDs! A system search shows there is a scheduler.exe file in /WINNT/system32 (94 kb application). When I try to end the task (see it cycling in task manager and with the active mouse) it says "Operation cannot be completed. Access denied." HELP! How can I get this turned off/removed so I return to no spikes in CPU use? Nothing appears in the Control Panel --> Scheduled Tasks display. Thanks!
