Formatting is a broom that sweeps the dirt from the floor in a room.
Fdisk is a wrecking ball that removes the walls from the room.
If you are going to FDISK, then you should do it before you FORMAT.
If you are going to install an OS with the same filing system as what is on the hard drive already, then fdisk is not necessary. WinNT and Win2K use the NTFS filing system. So if you have NT already on the computer you would not need to run FDISK before you formatted. However Win9x has a DOS platform, so you would need to FDISK to remove that first, and then allow Win2K to setup an NTFS partition then format the drive, then install the OS.
You can use the boot disk from the Win9x to boot to an A:\ and then type fdisk at the A:\ and follow the instructions. Then format. Then change the boot sequence in the Bios so the unit will boot from the CD-Rom first. This should get you to where you can install Win2K.

When doing a clean install, I would always do an Fdisk before to be sure you start from scratch, plus you can create your partitions before installing the OS
