to enable compatibility w/ the new system, we recently upgraded our server to win2000, the problem is the cpu/memory usage gets high once the old DOS system run, how do i get rid w/ this, how do work w/ DOS under win2000.

This isn't so much a Windows 2000 problem as it is a DOS program. There is no DOS in Windows 2000 but it may be able to emulate DOS enough for your program to run. It's really a problem with old code. Your best option would be to get an updated version of the software that is currently running in DOS mode if possible.

what old dos system, you mean a dos app?
set the comptibility for that app to win95 or lower, and set it to run in it's own memory space and limit the space to x size.
