I am no longer using Windows 2000 Pro and want to give it to a friend. Can I do this with miffing MS? I have been using XP Pro for about a year now.

Yes, as long as you have a licenses and just swap it. Make sure the copy you have is already legal and make sure when you give it you are no longer using Win2K anymore. Since you're using XP, make sure you have licenses for that.

And, if you aren't using it, who really cares. You are the end user and legally, you can sell it over ebay even.

yea why not sell it over ebay ... you could get close to the full retail price i think
if i were buying it all i'd care is the cd wasn't scratched up and the license was authentic

If you used an "Upgrade" version of XP, you cannot legally give him a copy of 2000. If it's a full version of XP (not Upgrade version) then you can give him the license.
