batch file to copy file mass rename 656 files

Specs: Windows Server 2003
Any help would be greatly appreciated. I'm new at batch files kinda. I can get the create folder to work just running a list of folders but putting it all together correctly just dont seem to work.

I need a batch file to copy one file to separate folders then rename the file based on a list of 656 file names I need stored in a text file.

SO essentially I need to create the first folder in the list then copy the file to that folder and rename it with the first file and Repeat the process until eof's

The the file I need to copy is:

C:\Documents and Settings\Administrator\Desktop\FMU Builds\Fence-Panels\Fence-Panels.asp

the list of file renames is located:

C:\Documents and Settings\Administrator\Desktop\FMU Builds\Fence-Panels-files.txt

the list of folders is stored in:

C:\Documents and Settings\Administrator\Desktop\FMU Builds\Fence-Panels-folders.txt

Not clear. Do you have two lists, one with folder names and one with file names? If so, how are the related?
