I tried doing the same a little while back with an Exchange Server. I don't envy you.

My first approach was to image the server then restore it to a test box. Then run the Server 2008 upgrade. The problem is the test box did not have the same hardware and I had no end of problems trying to mount the image.

My second approach was to install a fresh 2008 server and then move the FSMO roles over to the server. All I can say is you need to dedicate some time for this project if you go this route. Microsoft has tools for doing this but you have to some prep work and use some untested scripts that MS-Techs put together for companies to move the AD.

Good luck with this. Here are some sites to get you started.

You do 2008 later.

You follow this article to get you exchange on different hardware

Then you upgrade the server to 2008 though you should spend some time reviewing a 2003 to 2008 AD migration.
