Hi guys, i know someone out there has done this and I know it can be done...just not sure what it looks like. Here is the situation......I am installing SBS 2003 as a domain controller with 40 users connecting...I have another Windows 2003 Server doing nothing....How do I offload logons to the other 2003 Server?

How about using google and searching on adding 2003 to sbs? Bet the top hit is MS article. Though I think you might want to review how AD works concering your "offloading logons" question.
