NIC will not install - need help

CPU/Ram: Celeron 566 384MB

System...

MOBO : ASUS CUSL2

Processor : Celeron 566 ( OC'd to 756 )

RAM : PC 133 384MB

NIC : 2 x Netgear FA311

Modem : RCA Digital Cable Modem DCM305 ( one ethernet connection and one USB connection )

OS : XP Home Ed w/ SP1

Basic Setup : PS2 directly dedicated to one of the NICs and the modem directly in the other.

I'm new to networking so be nice ; - )

Here's the issue...

Ultimately trying to play FFXI using a PC and PS2. they work independantly very well and each NIC installed individually works beautifully, however w/ both NICs physically installed one of them cannot be installed. Do I need a switch/hub or am I missing something else. It seems to be a software issue but I am at a loss. I had it working with no NICs and connecting the PC by USB. I was hoping to have them both running thru ethernet ( the reason for the two cards ). Any help would be greatly appreciated...

this is what I have tried so far...

physically having only one card in and hooked to PS2...ok same thing but w/ PC...ok

one card ( and have tried both cards individually ) in different slot...ok

as soon as there are two cards physically in the machine when I reboot the first thing I get is...

Hardware Installation
"The software you are installing for this hardware: NETGEAR FA311/FA312 PCI ADAPTER
has not passed Windows Logo testing to verify its compatibility with Windows XP....Tell me why testing is important...blah blah blah...continuing may impair...blah blah...continue anyway or STOP Installation...

If I stop:
Cannot Install this Hardware...There was a problem installing this hardware: (icon) Ethernet Controller...An error occured during installation of the device...the driver cannot be installed because it is either not digitally signed or not signed in the appropriate manner. Contact your hardware vendor...click finish...

If I continue anyway:
Cannot install this hardware...There was a problem installing this hardware:NETGEAR FA311/FA312 PCI ADAPTER...
This device cannot start (Code 10)...click finish...help/suport comes up...

I have tried this both w/ the driver disks...they should be identical shouldn't they...

Hardware profiles shows one card listed as:
NETGEAR FA311/FA312 PCI ADAPTER
NETGEAR FA311/FA312 Fast Ethernet ADAPTER

the PCI listing is the one w/ the yellow exclamation point...the driver info is the same...

Have tried doing this?
Have both nic's physically in the machine.
Then click on Start/Run and type msconfig.
Choose selective startup.
Then click apply, or OK.
Then Go into Device manager and remove all networking devices from device manager.
Then reboot and lets the cards install.
The go back into msconfig and choose normal startup and click OK. and then reboot you PC again.
