If u are just using two pc's without a router.. WHAT you need

Both pc's with 10/100Mbps network ethernet cards,

and a 10/100Mbps Network Cable (r-j45)
a 1 meg file should take around 1 and a half seconds to half a second. (600KBps - 1.2MBps)

without having to CREATE a network, just enable Both cards on both Pc's and it should automatically detect if running win2000 or XP.

one of the computers should have 192.168.0.1 as the IP which is the HOST computer, and the other would have something like 192.168.0.168 or whatever. (automatically assigned)

then go into command prompt in both computers and PING Both Ip's to check if they are connected properly. if you get "Timed OUT", the connect cannot be found, if you get recieved/sent packet 4of4 that means the conenction is fine. i use netmeeting to send files over a network because you can send as many files as you wish. ie. you can have 100 files, and it will send one at a time.

windows machines are assigned under the 169.254.x.x subnet when not using dhcp. if you do have a DHCP router or server enabled chances are by default its gateway will be 192.168.0.1 or 192.168.1.1, not the first computer assigned by dhcp. mostlikely the first PC will be assigned 192.168.(0 or 1
0.100 and then leased after 100. If you dont have DHCP you will have to retreive the IP addresses from both machines and connect using those for fileshare.
