Win2ksys causing bluescreens

Subject: Win2ksys causing bluescreens
OS: Windows XP Professional
CPU/Ram: AMD 1.3 / 1 gig of RAM

I keep getting the bluescreen that says that Windows shuts down the computer due to errors associated with win2k.sys. These happen whenever I start an application that is video card intensive or when I open multiple threads to the NIC (like multiple downloads or more than one IE window open). The video card and NIC are sharing an IRQ, but I doesn't seem to matter if I change the IRQ to something else or move the NIC to a different slot. This only just started to happen... things were fine before. I may even reinstall if it will get this to go away.

Video card: Asus GeForce2 V7700 64MB GTS
NIC: Netgear piece of crap.
Mobo: Asus A7V133
