Random Crashing, hangs at boot

I own my own PC and have been having problems with is lately.
I'll bring up my computer and go into Windows XP normally, play a game, putz around etc. Then after awhile the System hangs for about 1.5 seconds and the screen goes blank. Then the HDD LED turns on solid, and the CD-ROM blinks continously. It will hang there unless I turn off the PC. When I turn it off and try to turn it back on the computer will either: 1) Boot normally (rare) 2) Hang with the same symptoms that it had before. My motherboard is a Shuttle AK31 v3.1 with 2 sticks of 256MB PC2100 RAM, 60 GB HD, GeForce3 Classic. I've ruled out heat as a problem, because the CPU is not hot and neither is the GFX Card. I have tried to flash the BIOS but I'm not sure if I did it right and if I did do it right it did not fix the problem. Any help is very very appreciated
