Ok to start off, here is my old setup:
2gig OCZ Platinum Revision ddr2 800 memory
500gb western digital hard drive
intel core 2 duo e6420
550 watt rosewill powersupply
radeon 4870
asrock 4core dual-vsta mobo
I recently bought an Intel DP43TF motherboard and through it in. My computer would freeze on boot, so we looked and my cpu was getting throttled because the temperature on the bios said PROCHOT. We tried replacing the thermal paste, and the cpu fan. We also tried replacing every piece of hardware and it also didn't work. So I issued an rma on it and got a new one. I just put the new one in, and same thing. I'm getting a PROCHOT error, and It wont even boot, it just restarts. Has this happened before, and is it an easy fix? I don't think I got 2 bad motherboards in a row. Any help is really appreciated.

You obviously know PROCHOT means the CPU is overheating, so why would you replace "every piece of hardware"? The most likely cause is you're not installing the HSF correctly. Either you're not mounting it securely, you're using the wrong amount of paste or you're applying it incorrectly. All you need is a tiny dab about the size of a grain of rice, then it needs to be positioned properly in a straight line on top of the CPU. It should NOT be spread around.
Here's the instructions:

I'm well aware that it means the cpu is overheating. I switched back to my old motherboard during the rma process and it worked just fine. The only thing that has changed is the motherboard, and both times I get the PROCHOT error. I replaced all the other hardware in case there was a compatibilty issue, or something. I just used my old hardware, it wasn't like I spent $500 replacing it all.

Alright, I got someone on Intel to help me with this, I misunderstood how the PROCHOT works on new boards, as it says PROCHOT -43c meaning I have 43c to go until it gets throttled.
