Solved PC Powers off has Gigabyte M/B

Specs: Windows 7, Intel Pentium Dual Core E6500 2.93 GHZ
PC Shuts Down Has Gigabyte GA-G41 Combo LGA 775 motherboard. I have replaced the power supply and memory and checked Processor seating/cooling. Please advice if I should replace the MB or which m/b is compatible.

If you replaced the power supply, it can really only come down to the processor or the motherboard. Are you getting any beep errors at all? (Beeping on startup usually indicates memory issues.) However, if the board itself is the problem, you won't be getting any beeps at all.

I would recommend replacing the board. Find one that hosts the same socket as your processor.

Why didn't you post the make/model/wattage of the new power supply? or the CPU temp reading? How did you go about checking the "Processor seating/cooling"? If you removed the heatsink, the old thermal paste should have been completely removed & new thermal paste applied & applied correctly. The Pentium Dual core uses the horizontal line method:
