new mobo will not boot

Specs: Windows XP, intel core 2 duo/super talent 1GB ddr2 667 Mhz
I've just bought a new mobo an asus p5kpl-am I've put a cpu i had in my older case which is a intel core 2 duo 1.23 Ghz and two memory sticks name super talent 1GB DDR2 667Mhz. When i installed everything the motherboard will not boot. But everything was working fine it just wouldn't start. i was properly grounded and i made sure everything was properly connected. i've google the motherboard to see if it bufferd or unbufferd in which it was unbufferd non-ecc cas 5.I've also check the power supply it work well. So, when i took the memory out of the case i was getting a beep signals knowing that the memory sticks wasn't in there but when i put the sticks back in there nothing the fans are spining the hard drives are going everything is working fine it just won't start i'm suspecting it the sticks. if any body been throught this problem and got a solution please help.

u should do a benchtest first before installing components into the pc case.
"older case which is core 2 duo 1.23"
i never saw core 2 duo case, i never saw core 2 duo runni at 1.23ghz stock.

You should NEVER install a board in a case without testing it 1st. Take the board out of the case & benchtest it.
