New CPU won't post

I have an ASUS A7M266 Mobo that has run great thus far with a XP 1500+. I now purchased an XP 2100+ and the machine won't post, beep nothing. I put the old cpu back in and booted right it up. I have tried the CMOS reset to no avail. The machine just will not boot, post or beep with the new processor. So I know its not the mobo or the memory or the power supply. Something is up and I can't figure it out. Could the chip be bad? Oh ya I have the newest bios revision 1007 for this board as well. Any help from you guys would be great. Thanks
