apart from the physical side (size/shape/wiring connections) when you change a motherboard you will normally find that XP fails to boot unless the new mobo has same make / model of chips on it as the old one. Normally a 'repair' instal of xp is needed which needs the XP cd and a serial/key number that works with that cd.
