Hardware failure bsod

hi i have a 1200 athlon with 2x256 meg sticks ddr=512 winxp home lately i have been getting a blue screen saying hardware failure call your vendor nmi:"prioritycheck/ memory priority error. So i figured one of my sticks is messed up so i tried taking one out and i got it again i switched slots and did the same with the other stick and i still get it. is it possible that both sticks went bad at the same time. The system isn't overclocked. Thi happenes sometimes when playing a game or loading a few web pages . random

It's possible that you have hardware failure, however I suggest you first go to Trend Micro's website and run their free online virus scan on your computer. Next, download and install Ad Aware, Spybot and Spyware Blaster,then update the latest indexes and run them. They are free. Sometimes when you get a lot of spyware on your computer it can cause strange things.

I am also getting this error. Only difference is my error doesn't give any device. Just says Hardware Failure and contact manufacturer. I have Windows XP pro. I have all the programs listed above but I also owne pc-cillin. I do however have tons of pop ups on my screen all the time I am on the net. Could this be the problem and if so now what? Format again? Please help this is driving me crazy.
