No, normally NOT!
I even changed a Pentium2 350@392Mhz slot one against Celeron 733@1232MHz on a slot1 to socket370 adaptercard and both OS's (ME and Win98se in double boot) had no problem with it.

But I wrote normally because a few years ago I overclocked that old Pentium2 from 350 to 392MHz and ME wouldn't boot anymore while win98se did.
If that happens to you try to install the OS again and use the already existing directory oft the old version. That way you should keep all your settings and installed programs and have it working again afterwards. But with a OEM version you may get problems with that way of installation.

It `might' force you to reactivate XP. But formatting is not necessary.

You wouldt normally but Windows XP has a inbuilt wya of counting how many hardware changes you make.Last year I had a computer with windows XP on it and my motherboard broke so I had to replace it XP wouldnt let me.You can make up to 3 hardwrae changes every 6 months so depending on the age nad previos work on the PC is should be ok theortically.
