Compaq laptop nc8230 will not boot memory

Specs: Windows XP
I have a NC8230, It use to boot up fine but all of a sudden it started to freeze. Someone told me it was a battery issue so I got a new one and it didnt seem to do the trick. Now Its displays a message that it has 0 memory and at least 258 is need to run NT. (i am running xp)
Do you think its bad memory or bad mother board?
I am leaning towards motherboard at this point, but not sure if its worth shelling out 150$ to find out vs buying a new laptop. But it is a nice older system.

I cant get it to go that far. It turns on shows windows screen and then flashes message.

I had Ubuntu on it as well as a dual boot system and Ubuntu will not even run.

It turns on goes to Operating system menu option, pick Ububtu and it brings you right back to Op system menu, Pick Windows and it flashes logo and then goes black with a message that it has 0 memory and needs 258 min to run NT.

I even tried to run it off the Ubuntu Cd which has a memory test on the CD but it will not boot, just brings me back to the operating system menu.

I guess I could buy memory on ebay to test it but after buying the battery I really dont wanna keep sinking $ into it unless I am pretty sure thats the issue. Vs Buying a new netbook and selling it for parts
