Comp shuts down randomly

Specs: Windows XP
Computer shuts down black / like somebody pulled the plug. When I put it back on, two things happen. 1. I get a message during bootup New CPU INstalled, press f2 to enter default settings. (which I do). and 2. Active desktop recovery says I need to restore my Active desktop -- except that I NEVER used the active desktop and I always make sure that it is not checked. I changed the cmos battery so that's not it.
Also, sometimes it stays on for weeks. Sometimes it shuts down 5 times in one day. There's no telling. My power supply is good. All fans are working. I disabled windows genuine advantage a while ago because it suddenly started saying that it's not a valid copy after 3 years. Is it possible that windows is shutting down my computer? Or could it be a hardware issue?

The power ripple is not smooth, suggestion use an UPS for transfer.

Thanks for replying but I have no idea what you mean... at all. I need you tell me exactly what activity I have to do... in detail. Sorry. I know I'm a pain in the butt.
