Try removing all add-on components except video, 1 hard drive and 1 cd-drive. Add them back in after thye installation.

It could be a memory problem, I went thru something similar a couple of years back. Some memory is really finicky with XP, and so are hard drives. I've also got a bad HD that will load and run WIN 98 till the cows come home but freezes when I load XP. Scandisk surface scan found bad sectors on a new drive, I just use it for testing any more and keep 98 on it till it dies.

I havent installed any new hardware, ive tried a diffrent harddrive thinking that was the problem, but that didnt work. Ive taken the computer down to the Video/Memory/HD/CD, still to no avail. I have disabled the Onboard sound/USB/ ect... and still fails to install, the computer just freezes up like theres a heating problem.
Last night i took out all the hardware and tried it in a old Compaq Deskpro, and everything works fine, and installs perfect. I have no clue, but im pretty sure my motherboard went out. I thought MSI motherboards lasted forever. MSI # MS6156 Ver.1 OBX7
