ASRock P4V88 won't power on

I assembling my new computer but it won't power on, just a flicker from the fans then nothing. When you punch the power button the first time (each time you unplug it and plug it back in).

X-Dreamer II case w/ 350 Watt ps
2x 512 MB PC3200 DDR
ATI Radeon 7500 AIW
P4 3.0E GHz Prescott CPU

This is only my second time building a computer (the first went pretty smooth, but that was an intel board).

I have all the drives disconnected at the moment to isolate the problem. Only CPU, RAM and video card in currently.

I even tried it without video card and RAM to see if I would get beeps but nothing.

look on the motherboard for the '
clear cmos' jumper. make sure its on pins 1-2

if clear cmos jumper in right location but still nothing on screen take the board out of case, isolate board from case to use power supplyto power up board, possible grounding problem between board & case

Slow down, before taking the board out of the case.

Check that the heat sink isn't on backwards.
Check that the header connections are properly connected.
Reseat the memory.

I have reseated the RAM several times, have tried it with one DIMM and both and tried both channel a and channel b

there is no jumper on the CMOS, it is 2 pins without jumper.

I did put in more spacers (not sure if right term, the things that keep the mobo away from the case and that screw the mobo fast with) than was necessary, could they be shorting it out?

I am pretty sure that my headers are correct. I followed the instructions very carefully but it didn't specify if the two pin connectors needed to be a certain direction with the different colored wires. That is HDD LED was two pin and had two color wires but manual only specified two pins to connect it to, not if one color needed to go with one. Hope that makes sense.

try board out of case, can't hurt as board might be DOA

Will try board outside of case

Only thing I can find on ASRock website is that they recommend 400W power supply for prescott processors, this case only has a 350W.

Problem solved.

I removed the mobo and couldn't get the cables to reach to try it outside the case. However, before putting it back I removed all extra mounting screws and wala, computer will now boot.

Thanks for all assist.
