Do you think my system will run HL2, are there any settings that are not needed? With the upgrades, will my comp be able to play HL2 on max res and max settings?

If you move up to a gig of ram and get rid of that turdy fx5200 for a 6600gt yeah you'll be able to run the game with all max settings at a reasonable resolution.
