If you're gonna spend that much money, get a better card. And make sure you have a damn good power supply.

Yes it will fit but you must also include the power supply if it can supply this card as well. So can we know what power supply that you are using.

I don't know where you found a GeForce GTS 250 (aka 9800 GTX+) for $80...that's about 1/2 price. But since it's already been ordered & is on the way, why bother asking if it will fit or not? You'll find out soon enough.

"i got it on ebay ,new in box nice huh"

I'd be suspicious of a $140-160 card that's supposedly "new in the box" for just $80...especially on eBay. Did you check the seller's rating? I hope it works out but it sounds almost too good to be true.

I don't think you'll need to be concerned about clearance with the memory slots. You'll probably end up with about 1/2" between the back of the video card & memory. It *may* be a little tight getting the RAM in/out once the card is in place though. If there are any clearance problems, it would more likely be due to the length of the card or the fact that it's "thick" & takes up 2 slots, so there *may* be a problem clearing the southbridge heatsink.
