how are temps? pentium 4s tend to get pretty toasty. If it's hitting about 60C you should look into more cooling options.

what speed ram? is it PC3200 (400mhz)? It could be a system bottleneck if your ram is running slower (333mhz or slower).

How about your power supply? what's the wattage, and what manufacturer? For a 6800ultra your PSU had better be at least 450W, i'm thinkin. And be wary of crappy no-name manufacturers, because a poor-quality PSU can mess up your entire system, doing long-term damage.

Is it a ht (hyper threading cpu chip if so go into the bois and disable the hyper thread that might help u.

if not try turning off fast write on your graphics card aand 1 other thing u can try is to up date your drivers and also put it to x4 not x8.

I had problems like this before with an Nvidia card. Drove me nuts for about three months. Replaced a kinds of hardware. It turned out to be a video driver isssue. I have to wait for and update to be released by Nvidia. Once I updated the video driver. Problem went away.
