CPU/Ram: 3400+ / 1gig ram

Is it ok to overclock a 9800pro that is running on a 300w PSU?? Also is it a hard task to fit a new PSU?

Play it safe, use ATiTool to find you max frequencies when you overclock the card. Power supplies are not necessarily the same, despite the disclosed Wattage stuck to the label, however if yours is a reliable 300W PSU with adequate amp distribution on the +12v rail you'll be okay.

Secondly PSU's are not hard to install.
