Almost definitely your video card.

The system requirements for Max Payne 2:

MINIMUM CONFIGURATION

1Ghz PIII/Athlon or 1.2Ghz Celeron/Duron processor
32MB AGP graphics card with hardware transform & lighting support
256MB RAM
1.5 GB hard drive space
Windows 98/ME/2000/XP
DirectX 9.0
Keyboard and mouse

RECOMMENDED

1.4Ghz Athlon or 1.7 Ghz Pentium 4, Celeron or Duron processor
64MB DirectX 9 compatible AGP graphics card with hardware T&L support
512MB RAM
1.5 GB hard drive space
Windows 98/ME/2000/XP
DirectX 9.0
Keyboard and mouse

Basically, your card is only designed for office work and not gaming. The system requirements seem quite specific about it being an AGP card too, so a PCI card might not work either. The only way round it is a new motherboard with an AGP slot (if your existing motherboard doesn't have one) and an AGP video card.

AMD Athlon XP2200+
Aero7 lite
512mb Crucial pc2700
Abit NF7-s V2.0
80GB Seagate SATA
120GB Seagate SATA
Geforce4 Ti4200 128mb
Benq FP767-12 17" 12ms
SB live 5.1 Digital

you can buy a basic geforce 4 fx5200 or ati 9200. both got 128MB ddr video memories. if you can afford it try to get the geforce fx5700 or ATI 9600. and if you prefer performance, smooth game playing, and can afford it. get geforce Fx5900 or higher OR ATI 9800 or higher. if you are rich or dont care about price, get geforce 6800GT or
ATI x800XT

P4 3.2GHZ
kingstom 1GB DDR 3200
Nvidia geforce FX 5950 256mb
