How do you install USR 2977 drivers?

I bought a USR 2977 OEM modem without software. I downloaded the 2977 file from USR but can't get the driver installed. Win 98se keeps using it's own driver from 1999 and claims it's the best driver for this modem. I tried even going thru device mgr. to install this driver and win98 claims the software has no info. for this application or something like that. I removed the modem in the control panel and then then try to install the usr 2977 driver, no dice. What is the correct procedure to install this 2977 driver. Thanx, Weber
