Yo Everyone,

I had the same problem, I DID SOLVE IT... :
- It is important to have the latest software: DirectX 8.1 and the newest drivers for your graphic card (whatever it is you'll get it from the vendor).
Install the drivers AND THEN DirectX (MIGHT loose some performance but better stability)
- There is this small sentence in the Game FAQ which says: make sure the (desktop) color depth is 16bit. It helped with some cards, didn't with mine (GeForce 4).
- Try "to patch" or "not to patch" the game, this also did help on some systems, the latest patch is 1.05

AND THE THING THAT REALLY SOLVES THE PROBLEM:
Install Max Payne in the compact mode (not the full mode) so it will look for the files on the CD !!!
