W2K runs DOS based software very badly, you may wish to look at using DOS software in Emulation Software like DOSBox

my c is fat32 and dos is my second os
DOSBox is very very slow
windows video edit is slow even with p4
if exist such tool it would of help for
many people

I have never used VirtualDub but if it can be managed by command line you can try the following

HX DOS is a free utility to run Win32 applications under a DOS (MS-DOS or FreeDOS) environment.

From the posted home page it seems to be aimed mainly to run compiler/linker designed natively for Windows, but that could achieve your target of running VirtualDub faster booting to DOS.

To try is almost at no cost (if you do not account your time that is actually the most expensive resource).
