Replacing the processor (CPU) will not affect what is on your hard drive. So if your computer has Win3 and DOS6.22 for example on the hard drive currently, and you upgrade from a Cyrix MMX chip to a AMD chip, you won't notice any difference at all. Installing new hard drives is when you'll have to reinstall the software. Installing a new processor does not require this.

When installing a new CPU it is very important that your Motherboard will support the chip. If you do not have motherboard documentation or can not get access to it on the web it might be wise to leave it as is. Also most motherboards require you to change all sorts of jumpers when switching from one speed processor to another. If you have proper motherboard documentation this shouldn't be too difficult however. Just remember to ground yourself before handling the CPU or the motherboard so you don't fry anything with static (It might be good to invest in a static wrist guard).
Hope this helps, -Michael
