That means the format.com and sys.com files are from different versions of dos. Ensure your bootdisk (I assume that's where you're using the command from) has the same version on both files. Look at the time/date stamp on the files. The time is the version, ie; 6:20 PM is dos version 6.20, 6:22 is 6.22 etc.

Could anyone tell me in laymans terms how to create an MS-DOS Boot Partition, i keep FDISKING but it keeps refusing to excepting the drive because the disk is protected, i put 2000 on but somehow it went to nt o/s instead of fat32 an error occurred so ive been trying to get back to fat32 and no matter what i do it wont let me format because i need to create a MS-DOS Partition, could some help me please before my brain goes into a coma with lack of sleep ?
sincere thanks.

Boot with a boot disk which is for the O/S you intend to install.
Start fdisk.
Choose Y for large disk support if you want a FAT32 drive, choose N if you want FAT16.
Choose option 4 to check the existing partition TYPE.
ESC back one screen.
Choose option 3. Follow the prompts to delete the existing partition.
ESC back to the main menu screen.
Choose option 1.
Choose next option 1.
Follow the prompts to create your new partition(s).
Reboot when prompted to "stamp" the changes to the drive.
After the above reboot, type format/c c: at the A; prompt. The /c tells format to check any sectors currently marked as bad.

firstly learn the your system version.
yuo must write
ver
in ms-dos
and you will find format.com in this version.
if you say me your versiyon ý can find it..
see you.
serlogo@sitemynet.com
