You should be able to see my system specs below. Do u think its worth upgrading my CPU to a P4 3.2Ghz? My 2.4 is starting to get a bit slow and was wondering about the actual performance increase justifying the cost.

I don't know if you will see that much more improvement if you do upgrade it to a 3.2ghz, but I would wait until your 2.4ghz can no longer handle a lot of new games, by then the 3.2ghz should be a lot cheaper then it is now. I'd say hold off on the upgrade until you truly need it.

The 2.4 on a P4P800 is a nice combination with 1Gb and the 6600GT...your problem lies elsewhere.
That thing should just fly.

If you have 2.4C, you can easily overclock it to 3.0 with the stock HSF and a 350/400W generic PSU (at least I did it).
