i am wanting to switch out a sempron 3100 for an athlon 64 3400 both are 754 socket....i have a asus K8S-LA motherboard and i was wanting to know if i might fry my motherboard or anything else if i attempt this

What are you trying to achieve here? Are you trying to get higher performance in games? If so, list out the current video card you have right now and power supply's 12v rail amperage would be useful to know. Otherwise, going from a sempron 3100+ to athlon 64 3400+ yeild max 20% gains... However, if you do have an integrated video card, then the yeild will be insignficant in 3D games...

You can find the manual for your board here.

If you are doing this with the intent of holding on to the system for at least 18 months or thereabout, a 3400+ may be worth it. Otherwise you should sell the system as is, and invest the proceeds from it in a totally new rig.

Anyhow, the max you can go is a 3700+ and for the S754 3700+ 800MHz Bus OEM CPU (not HSF) you'll be looking at spending at least $260.00 or $95.00 for a 3400+ (800MHz Bus) also OEM.
