The exact procedure? Do you have enough general knowledge of hardware and software and computer configuration? What kind of motherboard do you have? You should try reading a few articles on
overclocking as there are many factors that must be considered before even beginning to overclock.

Give exact specifications of
your computer and what why you want to overclock (what applications do you use). Here are some cool sites:

HDD................40 GB SAMSUNG
GRAPHICS...........ONBOARD GEFORCE 2

I am able to overclock my graphics card (onboard) by 3rd party applications. But i wish to overclock my Processor to get a better performance combination in games like NFSUG2, Doom 3, etc.

Your board only supports 200MHZ and 266MHZ FSB, so you are very limited in overclocking, if you can at all. Keep in mind that the best motherboards to overclock support a higher FSB than the current processor being used.

I.e....I have an Abit NF7-S2 and it supports up to 400MHZ DDR, so my Sempron 2400+ processor that has a stock of 1.67 ghz @ 166 MHZ (333 MHZ DDR) can be overclocked up to and possibly over 400MHZ which gives me a final speed of 2.0 GHZ or 10X 200 MHZ.

You may try getting ram rated at a higher speed than the motherboard supports and try to overclock in small intervals (1MHZ at a time) but there are no guarantees. I am not too familiar with your board, but it has the NForce chipset which is ideal for overclocking.

You may want to keep your eyes open for a board that supports 400MHZ DDR. Also, keep in mind that there are many other factors involved in overclocking that you want to grasp. Good luck..hope this helps.
