over clocking problem

i went into by bios to over clock my computer a little and i did that so then i got it up to a 2.8. once i shut down and restarted all i got was a black screen and i just keep getting that every time i try and over clock it, even if i clock it a little bit. anyone know why im not able to over clock it?? motherboard - iwill p4533-N memory - 512 pc 800 rambus CPU - P4 2.4 gigs power supply - 350 5 fans

Not all CPUs overclock well. Sometimes there are even significant differences in CPUs, from the same production batch. Other things that affect the ability to overclock:
cooling especially CPU and motherboard chipset CPU core voltage (sometimes you need to increase the core voltage a little to get a stable system) what components are on the PCI Bus (can affect PCI bus speed) memory quality and timing settings power supply (wether it supplies enough power and the "quality" of that power)
