I'm Iffy about your ultra psu though. There is a reason why it's 30 bucks. Not very good quality. Even though it's 500w and has a 28amp rating Ultra psu's have been known to burn out within a year after use. I suggest getting a psu like Thermaltake for example. You may pay more, but the quality is much better.
There are no really outstanding AM2 boards unless you're willing to pay the big bucks. I guess the one you picked is as good as any. However, if you ever intend to use the integrated video, a board based on the 690G chipset would probably be a better choice.
CPU choice is OK.
There are better performing video cards for roughly the same price...you won't find many people singing the praises of the 8500GT. The 8600GT has a faster core, faster memory & double the stream processors:

About the Ram great price, But after rebate, i really don't trust "rebates" but its a corsair and $24.99 is a steal so i will probably buy it. Also going to buy (2X512mb) 1gb ram for rest of slots left. Those deals will be gone by the time you scrape up the money & you'll have to start all over again. The RAM deal expires on 2/19, the video card deal expires on 2/28, the PSU deal expires on 2/29.
What do i do with the driver CD i will be getting from the motherboard? Do install it to my hard drive just like any other driver? I have a FOXXCONN mobo and planing to buy a new new motherboard using the same hard drive i used with the Foxxconn mobo, will this affect it any way if i do install the driver? You're gonna have to reinstall Windows because the current installation is configured to your old hardware, then you'll have to install the new motherboard drivers, video drivers, etc
Ok then i will get the video card first because i don know if there is any better video card than this for the price. I will try to find better ram later. Why do you have to buy a new copy of XP? Just reuse your old copy or for that matter, you can use a friend's copy, provided you reuse YOUR product key. If you don't know what your key is, use Magical Jellybean keyfinder to retrieve it off your hard drive:

Basically, it's size. If you have an ATX case, you can install either an ATX or mATX board. But if you have a mATX case, you can ONLY install mATX boards.
I have the video card jam gave the link for. Some people on newegg complain that the fan is very loud, but I haven't found that to be the case at all. Of course, they may be doing a lot more gaming than I am. It's true that many of those deals expire soon, but there are always a lot of other deals if you look. You don't have to buy a new hard drive. You could use the XP DVD and do a repair install, though you will then need another product key. Then you would have to install the new motherboard drivers, video drivers, etc as jam said. It's probably better if you uninstall XP-then you could reuse the product key(I think). A micro ATX motherboard is smaller than ATX and often harder to work with as far as being cramped. On the other hand, it might fit your case better.
Thanks but no one has the windows xp full install someone had win 2000 but i want XP for gaming. i had one that came with the original computer but no software lasts forever. No scratches on cd but wouldn't read a.dff file could not fix cd. Need to buy a new windows dvd so please what is the difference between the 2. Is the OEM better? Thanks

They're the exact same thing, software-wise. OEM is just the disc & the product key...retail comes in a pretty box & includes some pretty paperwork. OEM is *supposed* be be sold with hardware....retail is just an outright purchase. The main difference is cost. If you wanna save some bucks, buy OEM.
Read the OEM disclaimer:
"Qualifying proof of purchase must be recent receipts showing the purchase of a mother board, hard drive, RAM and a CPU. The components can be on multiple receipts; not necessarily all on one receipt nor on the same receipt as the qualifying Windows XP/Office 2003 that you purchased"
But just to repeat what I said in the other post - it's not illegal to use another persons XP disc, as long as you use YOUR product key & that product key was legally obtained.

It does if you take care of it. My Win95 CD is still good as new.
Ok, the OS, i will have to buy a new one or find it for free elsewhere. So once i have obtained my OS i will load bios on my hard drive with the OS i am currently using, load bios tell it to boot from cd then install from the cd/dvd that i have from the OS, after that is finished restart my pc and enter windows and set up and install the drivers for my mobo, video card, and other.if that is not the process tall me so i can know what to do before i go and do this. If i get cd and install windows it will delete ALL data currently on the HD then install new windows?

You can attempt a "repair installation". You shouldn't lose any data or files, but you never know...you should have them backed up just in case. You will lose ALL the Windows updates & it will almost be like starting from scratch.

It kept saying in safemode that it couldnt load a .dll file.

If you have all your important files backed up, it would probably be best to format the HDD & start from scratch. Of course, that means that you will have to reinstall ALL your programs again.
About the 40GB HDD...where did it come from? your current system or different one?
Different system, but I deleted all data in it, i have the folder option to show all hidden files and folders. And can only get one because of budget. Already spending $420 dollars only have 450 in savings so if added S&H it would reach max. And restarting fresh is best because don't have anything already backed up in CD or DVD and most of the things I use take up a couple of mb fast and easy install. I asked the 800 or 6XX mhz question because the corsair showed a timing of 4-4-4-12 and the a-data showed a timing of 5-5-5-18 don't really know what that means but i would think lower timings are better. One more question a friend has a windows XP pro cd, can I use this and use this system's key?

If I'm understanding correctly, you tried to use a HDD from one system in a different system? If so, that's why you got the BSOD...you can't swap drives like that & expect it to boot because the OS is configured to the other systems hardware. That is the same reason why you will have to reinstall XP on your current HDD when you swap motherboards.
Lower memory timing are generally better, but if you have to get DDR2-675 RAM to get 4-4-4-12 timings, what's the point? The Athlon64 X2 performs best with DDR2-800 RAM. If you get DDR2-675, it will become the bottleneck. You don't need 3GB of RAM anyway, just go with the 2GB (2 x 1GB) of DDR2-800...add more when you get the money.
BTW, how does all this add up to $450? By my count, it's about $390, shipping included. That's for the board & CPU you selected, 2GB Corsair DDR2-800 RAM, 8600GT video card & 700W PSU. And the PSU might not even be necessary.
This is going to sound extremely crazy Idea but what if i download windows xp from a p2p server? I already found it its an ISO 536.6mb, huge but it will take a couple of minutes to download. Unless its all a bunch of viruses im wondering if this will do. I have downloaded ISO formated software before and i have something that will transfer data from ISO to a CD/DVD. The files name is "Microsoft Windows Home Edition (Bootable SP2)(ENG)". I download, Write on CD, insert once i get new mobo, and install using my cd key. By the way how does the CD key work, does it go online to check or does it have installed all cd keys acceptable? The other files that dont look suspicious are called,(OS) Microsoft XP Media Edition 5in1 ......) the other is called,(Windows XP home edition with serial and crack). the rest i kno r viruses/worms because they say windows xp pro and only 152-1496kbs. I am thinking this is a bad,bad idea but this is the only way i can get it without paying the full price for one(unless u can let me borrow it)LOL. I added the OEM but subtracted the 700w psu. But still my math was incorrect, thanks jam.

Your key will only work with the correct XP version...if your key is for XP Home, you can't use an XP Pro CD, or vice versa. What is wrong with your copy? Scratches on the underside can usually be polished out, but if the substrate is scratched off the top, the disc is shot. Error messages during installation often are due to bad RAM.
Both my ram and this CD is screwed up. This is a cheap cd given to me bye the company who made my computer. It isn't windows xp its the cd to re-image my compter and perform diagnostics. It loads a boot file. It doesn't have the data in the cd. This is the only cd the company gave me with the purchase of this computer. Do you know a site where the windows xp OEM is a lower price but same value as if i bought it anywhere else for $89.99.If i add all this up it would be $407.67, shipping included. Really wanted to get a new case+Sata Drive for those 90 dollars but now i have to waste em in a Cd for a system I already have.Maxed cap is $400 max not $450, but $8 more isn't much.
