cpu freezes and unfreezes routinely

OS: winXP
CPU/Ram: 512MB

At about 1 hour after start up my cpu freezes for about 20 seconds then it will unfreeze for a minute and then freeze up again. This doesn't stop until i shut down the computer for a while and restart. Also, when this happens, the computer will not shut off. The system will shut down, but the cpu remains running. I have to hold the off button. Why is this happening?

CPU = Central Processing Unit, I think if the CPU got frozen it would make a nice change from overheating!!
