The 1st thing you need to do is find out if you motherboard even supports a P3 866MHz CPU...my guess would be it doesn't.

But to answer your question...no, you will not have to reinstall Windows.

Thank you very much for your prompt reply.
Well, in motherboard bios(zida T810 B) there is option for setting cpu frequency where max freq listed is 900 mhz. so from that i thought i may be able to upgrade.
Please,guide me in this regard.

OK, is 866MHz one of the choices, or do all the choices end in 00Mhz?

Your board would have to support 133MHz FSB to be able to support the 866MHz CPU (6.5 x 133MHz). If your board only supports 100MHz CPUs & you install the 866MHZ CPU, it will run at 650MHz (6.5 x 100MHz), if it runs at all.

You're gonna have to do some research. Check your motherboard manual (if you have one) or see what google can do.

In bios CPU configuration max value seen is cpu speed 933 mhz and overclocking 155 mhz

You have an Intel 810 chipset. The motherboard only supports 100MHz FSB, so only Celerons officially work in that board.

This system is pretty outdated, you would be better off saving a bit of money for a new basic PC. You can get pretty basic PC for arond $300(Australian)
Even though it would be low end it would be hugely faster than your PC can ever be.

I'm not sure if a P3 will work in your system but I have run a 1.1GHz Coppermine Celeron in an Intel 810 based PC before so maby you should look at the Celerons instead.

Yup ,i do have a amd 1.8 ghz laptop. just wanted to upgrade old desktop.
