Intel Celeron D 360 vs. P4 550

What do you guys think? Is being 64 bit capable an advantage over higher FSB and L2 cashe? I am not running a 64 bit OS but if I did, would the Celeron in it's 64 bit Os outperform the P4 in 32 bit.
