AMD K6-2 upgrade? worth it?

I have an AMD K6-2 450mhz, 384 MB RAM, with a Via Apollo MVP3 vers 4 motherboard, 100mhz FSB, COMPAQ BIOS. I can buy a 533mhz AMD K6-2 on ebay for $40. Is it worth it? I assume since I'm just putting in a new AMD K6-2 CPU it ought not to cause any major probs (motherboard web site says my board will support up to 533mhz) ..is that correct or may it be more pain to do this than it is worth? Or is it Better to pay $80 for a new motherboard/AMD processor (at 1.0 ghz).
